Acceptance of Terms
These Terms of Service ("Terms") constitute a legal agreement between you ("Customer", "you") and WUC Technologies LLC, a Massachusetts limited liability company with its principal place of business in Boston, Massachusetts ("WUC", "we", "us", "our").
By accessing wuctechnologies.com (the "Site"), submitting an inquiry through any contact form, or executing a separate written engagement agreement with WUC, you acknowledge that you have read, understood, and agree to be bound by these Terms.
If you are entering into these Terms on behalf of a company, governmental entity, or other legal entity, you represent that you have the authority to bind that entity. In that case, "you" refers to that entity.
Definitions
Services Description
WUC delivers third-party maintenance and infrastructure-intelligence services for multi-OEM enterprise estates. Specific scope, SLAs, fees, and term are set forth in the applicable Engagement Agreement.
Services include but are not limited to:
- Hardware maintenance for server, storage, network, and hyperconverged platforms
- Post-warranty and end-of-service-life (EoSL) extension support
- Predictive maintenance, lifecycle modeling, and refresh roadmap consulting
- NOC operations, monitoring, and managed services
- Professional services: migrations, decommissions, refresh planning
WUC reserves the right to modify the Services described on the Site at any time. Services delivered under an active Engagement Agreement are governed by that agreement and are not affected by Site changes.
License Grant
Subject to your compliance with these Terms, WUC grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for your internal business purposes. This license does not permit any commercial use, resale, or systematic extraction of Site content.
Use Restrictions
You agree not to:
- Reverse engineer, decompile, or attempt to extract source code from the Site or any WUC systems
- Use the Site to develop competing services
- Scrape, crawl, or systematically harvest Site content except in accordance with our robots.txt
- Interfere with the Site's operation, security, or availability
- Misrepresent your identity or affiliation in any inquiry or engagement
Intellectual Property
WUC Materials
All Site content, methodology documents, operating-practice templates, comparison frameworks, and related materials ("WUC Materials") are owned by WUC or its licensors and are protected by U.S. and international intellectual property laws.
Customer Data
Customer retains all right, title, and interest in Customer Data. WUC processes Customer Data only as needed to deliver the Services and as further described in the applicable Engagement Agreement and our Privacy Policy.
Confidentiality
Each party agrees to use reasonable measures to protect Confidential Information disclosed by the other party and to use such information solely to perform under these Terms or the Engagement Agreement. Confidentiality obligations survive termination for three (3) years, except for trade secrets, which remain protected so long as they qualify under applicable law.
Disclaimers
WUC does not warrant that the Site will be uninterrupted, error-free, or free from viruses or harmful components.
Limitation of Liability
Indemnification
You agree to defend, indemnify, and hold harmless WUC, its officers, employees, and contractors from and against any claims, damages, liabilities, and reasonable attorneys' fees arising from (a) your breach of these Terms, (b) your misuse of the Site, or (c) your violation of any applicable law in connection with your use of the Site.
Term & Termination
These Terms remain in effect while you use the Site. We may suspend or terminate your access at any time, with or without notice, for any breach of these Terms.
The provisions that by their nature should survive termination — including IP, Confidentiality, Disclaimers, Limitation of Liability, Indemnification, and General Provisions — shall survive termination of these Terms.
General Provisions
Governing Law & Jurisdiction
These Terms are governed by the laws of the Commonwealth of Massachusetts, without regard to conflict-of-laws principles. Any dispute arising under these Terms shall be brought exclusively in the state or federal courts located in Suffolk County, Massachusetts.
Severability
If any provision is held invalid or unenforceable, the remainder shall remain in full force.
Assignment
You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of substantially all assets.
Entire Agreement
These Terms, together with any applicable Engagement Agreement and our Privacy Policy, constitute the entire agreement between the parties with respect to the subject matter.
